Terms of Service
Please read these terms carefully. They govern your use of this website and describe how our consulting engagements work.
1. Agreement to these terms
These Terms of Service (“Terms”) form an agreement between you and AKR Advisory Services Inc. (“AKR Advisory”, “we”, “us”), a corporation with its principal office at 667 Eagle Rock Ave, West Orange, NJ 07052, USA. By accessing interkinetix.com (the “Website”) or submitting the contact form, you agree to these Terms. If you do not agree, please do not use the Website.
2. What we do
AKR Advisory provides business consulting and professional advisory services, including strategic consulting, management consulting, financial and tax advisory, legal and compliance support, HR consulting and staffing, and IT consulting and digital transformation. Descriptions of these services on the Website are general marketing information, not an offer capable of acceptance.
3. Website content is not professional advice
Material published on the Website is general in nature. It does not constitute legal, tax, accounting, investment or other professional advice, and it does not create a consultant-client, attorney-client or fiduciary relationship. You should not act on Website content without obtaining advice specific to your circumstances. See our Disclaimer for more detail.
4. Enquiries, proposals and engagement
- Submitting the contact form starts a conversation; it does not create a binding contract.
- After an initial discussion we may issue a written proposal describing scope, deliverables, timing and fees.
- Work begins only when both parties sign an engagement agreement or you accept a proposal in writing.
- Where the engagement agreement and these Terms conflict, the engagement agreement controls.
5. Fees, invoicing and payment
- Fees are set out in the applicable proposal or engagement agreement. No fees are charged through this Website.
- Unless agreed otherwise, invoices are payable within 15 days of the invoice date.
- Pre-approved out-of-pocket expenses (travel, third-party fees, licenses) are billed at cost.
- Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
- Fees are exclusive of applicable taxes, which are added where required.
6. Cancellation and refunds
- Either party may cancel a scheduled consultation with at least 24 hours notice at no charge.
- Prepaid work that has not yet been performed is refunded in full on written request.
- Where work has begun, fees are prorated to the services actually delivered up to the cancellation date.
- Fixed-fee deliverables that have been completed and handed over are non-refundable.
- Refund requests should be sent to [email protected] and are processed within 10 business days of approval.
7. Your responsibilities as a client
Our recommendations depend on the completeness and accuracy of the information you provide. You agree to supply accurate information, give timely access to the people and documents required for the work, and make your own final business decisions. We are not responsible for outcomes that follow from incomplete, inaccurate or withheld information.
8. Confidentiality
Each party will keep the other party’s non-public information confidential and use it only for the purpose of the engagement. This obligation does not apply to information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law.
9. Intellectual property
All Website content — text, layout, graphics, code and the AKR Advisory name and logo — is owned by us or our licensors and is protected by intellectual property law. You may view and print pages for your own business use. You may not copy, republish, scrape or use the content commercially without our written permission. Deliverables produced during an engagement are licensed or assigned to the client as set out in the engagement agreement.
10. No guarantee of results
Consulting is an advisory service. We apply professional skill and care, but business outcomes depend on market conditions, execution and factors outside our control. Any figures, case studies or statistics shown on the Website describe past projects and are not a promise or guarantee of similar results for your business.
11. Limitation of liability
To the fullest extent permitted by law, AKR Advisory is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, arising out of the Website or our services. Our total aggregate liability relating to an engagement will not exceed the fees you paid to us for that engagement in the twelve months preceding the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
12. Indemnification
You agree to indemnify and hold harmless AKR Advisory, its officers, employees and contractors against claims, damages and reasonable legal costs arising from your misuse of the Website, your breach of these Terms, or your violation of applicable law or third-party rights.
13. Acceptable use
- Do not submit false, misleading or unlawful information through the contact form.
- Do not use the Website to distribute spam, malware or automated bulk requests.
- Do not attempt to gain unauthorized access to the Website or its underlying systems.
- Do not use the Website in a way that interferes with other visitors.
14. Third-party links
The Website may link to third-party resources for convenience. We do not control and are not responsible for their content, availability or practices, and a link does not imply endorsement.
15. Availability and changes
We aim to keep the Website available but do not guarantee uninterrupted access. We may modify, suspend or discontinue any part of the Website, and may update these Terms at any time. Continued use after an update means you accept the revised Terms.
16. Termination
We may restrict or terminate access to the Website if these Terms are breached. Either party may terminate an engagement as described in the engagement agreement; sections that by their nature survive termination (confidentiality, intellectual property, liability, governing law) continue to apply.
17. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law rules. The state and federal courts located in Essex County, New Jersey have exclusive jurisdiction over any dispute, and both parties consent to that jurisdiction. The parties will first attempt in good faith to resolve any dispute through direct negotiation.
18. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with any engagement agreement, form the entire agreement between the parties regarding their subject matter.
